Introduction
These Terms of Service (“Terms”) govern your use of the Tally Tax Services (“Company,” “we,” “us,” “our”) website and our tax preparation, tax planning, IRS representation, bookkeeping, payroll and related services (together, the “Services”). By using our website, requesting an appointment or engaging us, you agree to these Terms. If you don’t agree, please don’t use the Services.
About us
Tally Tax Services, 30 N Gould St, Sheridan, WY 82801, provides tax and accounting services for individuals and businesses, including individual and business returns, tax planning, IRS notice and audit representation, back-tax resolution, entity setup, 1099 compliance and bookkeeping.
Website content is not advice
Tax guides and other content on our website are general information, not tax, legal or accounting advice for your situation. Tax laws change often. Don’t act on website content without talking to a qualified professional about your circumstances.
When a client relationship begins
Requesting an appointment or having a free review doesn’t make you a client. A client relationship begins only when you sign our engagement letter (or other written service agreement). The engagement letter describes the specific services, fees and responsibilities, and if it conflicts with these Terms, the engagement letter controls.
Your responsibilities
- You are at least 18 and authorized to engage us for yourself or the business you represent.
- You’ll provide complete, accurate and timely information and documents. We rely on what you provide and generally don’t audit or independently verify it.
- You’re responsible for reviewing your returns before signing them and for the accuracy of the information in them.
- You’ll keep records that support the items on your returns.
We aren’t responsible for taxes, penalties or interest that result from incomplete, inaccurate or late information, or from the disallowance of items you couldn’t substantiate.
Quotes, fees and scope
Quotes are based on the scope and complexity you describe. If we find additional complexity — for example extra states, entities or missing records — we’ll tell you and agree any fee change with you before doing the additional work. Prices shown on our website are starting points; your quote is set in your engagement letter.
Appointments
Please give at least 24 hours’ notice to reschedule an appointment. We aren’t responsible for missed filing deadlines caused by late documents or responses; where needed, we’ll discuss filing an extension.
Payment
Unless your engagement letter says otherwise, fees are due when the service is completed and before returns are filed or deliverables are released. We may hold filing until payment is received. Late payments may result in suspension of ongoing services, and returned payments may carry an administrative fee.
Cancellations and refunds
You may end an engagement in writing at any time. You’re responsible for fees for work performed up to that point. Because our fees pay for professional time, refunds are generally not available once work has begun, and fees don’t depend on the outcome of a return, refund or IRS matter.
Communications and text messages
By giving us your contact details you agree we may contact you about your request or engagement. Text messages are sent only if you opt in, as described in our Mobile Terms and Conditions. Consent to texts is not a condition of purchase.
Privacy and confidentiality
We handle your information as described in our Privacy Policy and in keeping with our professional confidentiality obligations. We do not sell personal information.
Acceptable use of the website
Don’t misuse the website — for example by attempting to access it without authorization, interfering with its operation, or submitting false information. Website content is owned by Tally Tax Services and may not be copied for commercial use without permission.
Limitation of liability
To the fullest extent permitted by law, Tally Tax Services is not liable for indirect, incidental, special or consequential damages, and our total liability for any claim relating to a service is limited to the fees you paid for that service. Nothing in these Terms limits liability that can’t be limited by law.
Indemnification
You agree to indemnify and hold harmless Tally Tax Services and its owners, employees and agents from claims, losses and expenses arising from your breach of these Terms, information you withheld or misrepresented, or any fraudulent activity on your part.
Dispute resolution
If a dispute arises, we’ll first try to resolve it informally in good faith. If that fails, the dispute will be resolved by binding arbitration in Sheridan County, Wyoming, administered by the American Arbitration Association under its applicable rules. Each party bears its own legal costs unless the arbitrator decides otherwise. To the fullest extent permitted by law, claims may be brought only on an individual basis, not as a class or representative action.
Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.
Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted on this page, and the date above shows when they last changed. Continued use of the website or Services after an update means you accept the revised Terms.
